CHICAGO, Oct. 15, 2026 /PRNewswire/ — GTCR, a leading private equity firm, announced today that it has jointly led a US $200 million investment in Sophos, a global provider of cybersecurity software and services and a portfolio company of Thoma Bravo. Headquartered in Oxford, United Kingdom and with significant operational presence in the United States, Sophos serves approximately 625,000 customers, primarily small and medium-sized businesses and mid-market organizations. Its offerings include endpoint and network protection and managed detection and response (“MDR”) services, which combine technology and outsourced security services to monitor customers’ technology environments. In February 2025, Sophos acquired Secureworks, adding an enterprise-focused MDR business to its cybersecurity offering.

The investment follows the close of GTCR’s inaugural Capital Solutions Fund, with examples of recent investments including TELUS Health and Solmetex. Drawing on GTCR’s deep sector expertise and structuring capabilities, Capital Solutions provides bespoke minority structured investments into high-quality businesses.

“We are excited to partner with Thoma Bravo and the Sophos management team. Our ongoing dialogue with Thoma Bravo and familiarity with the sector enabled us to move quickly to address Sophos’ financing needs,” said Jason Prager, Managing Director at GTCR. “This transaction reflects our ability to work alongside existing owners and management to structure bespoke capital solutions.”

“GTCR brought a practical, collaborative approach to Sophos’ refinancing,” said Erwin Mock, a Managing Director and Head of Capital Markets at Thoma Bravo. “Their understanding of the sector and ability to respond quickly as the process evolved made them a constructive partner, and we appreciate their support for Sophos.”
